Complycia provides software tools designed to help non-medical home care agencies generate, organize, and maintain compliance documentation, including policy binders, procedural templates, and related materials aligned to selected state regulations.
The Service may include features such as:
Compliance binder generation and document assembly
State-specific policy templates
Hiring, training, quality assurance, and safety documentation
Incident reporting and audit preparation templates
Ongoing compliance monitoring and update notifications (for subscription plans)
Complycia does not provide legal advice, regulatory approval, or licensure guarantees. The Service is intended to support internal compliance efforts and does not replace review by legal counsel or consultation with regulatory authorities.
Features and availability may vary based on plan type, jurisdiction, and subscription status.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By using Complycia, you represent and warrant that:
You have the legal authority to enter into these Terms
Your use of the Service complies with applicable laws and regulations
You are not prohibited from using the Service under applicable law
4. Account Registration & Security
To access certain features of the Service, you may be required to create an account. You agree to:
Provide accurate, current, and complete information during registration
Maintain the confidentiality of your login credentials
Promptly notify Complycia of any unauthorized access or security breach
You are responsible for all activity that occurs under your account. Complycia is not liable for losses resulting from unauthorized access caused by your failure to safeguard account credentials.
5. Acceptable Use
You agree to use the Service only for lawful, internal business purposes related to compliance documentation and operational readiness. You agree not to:
Use the Service for any unlawful, harmful, fraudulent, or misleading purpose
Attempt to access data, systems, or features not intended for you
Interfere with or disrupt the integrity or availability of the Service
Reverse-engineer, copy, scrape, or extract source materials, templates, or underlying logic
Use the Service to misrepresent regulatory compliance or falsify documentation
Complycia reserves the right to suspend or terminate access to the Service if these Terms are violated.
6. AI & Data Use Disclosure
Certain features of the Service may use automated systems to assist with document generation, formatting, or organization based on user-provided inputs. These features are designed to support efficiency and consistency in compliance documentation.
You acknowledge and agree that:
Generated materials are provided as drafts and require user review
You are responsible for verifying accuracy and regulatory applicability
Complycia does not guarantee regulatory approval or licensure outcomes
Complycia does not use customer data to train public or third-party AI models. Customer data is not shared, sold, or reused outside of providing the Service.
7. Subscriptions, Billing & Payments
Complycia offers both one-time purchases and subscription-based services, depending on the selected plan. By purchasing or subscribing, you agree to the following:
One-Time Purchases:
Certain products, including compliance binder bundles, are billed as a one-time fee and are non-recurring. Access to purchased materials is granted upon payment.
Subscription Services:
Ongoing services such as Compliance Guard are billed on a recurring monthly basis unless canceled. Subscriptions renew automatically at the end of each billing period.
Payments:
Payments are processed through third-party payment providers. You authorize Complycia to charge your selected payment method for applicable fees.
Cancellations:
Subscription services may be canceled at any time. Cancellation will take effect at the end of the current billing period.
Complycia reserves the right to update pricing with reasonable notice. Continued use of the Service after pricing changes constitutes acceptance of the updated fees.
8. Cancellation & Refunds
You may cancel subscription-based services at any time through your account settings. Upon cancellation:
You will retain access to the Service until the end of your current billing period
No prorated refunds are provided for unused time, except where required by law
One-time purchases, including compliance binder bundles and generated documents, are non-refundable once delivered, due to the customized nature of the materials.
In certain circumstances (such as failed payment, suspected misuse, or violation of these Terms), Complycia may suspend or restrict access to the Service until the issue is resolved..
9. Intellectual Property
All rights, title, and interest in and to the Service, including but not limited to software, workflows, templates, document structures, designs, branding, and underlying logic, are owned by Complycia or its licensors.
Subject to your compliance with these Terms, Complycia grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only.
You may not copy, distribute, resell, sublicense, or publicly display any portion of the Service or generated materials except as necessary for your own regulatory submissions or internal operations.
You retain ownership of the data and information you provide to the Service. Complycia does not use customer data to train external models, resell content, or advertise third-party products.
10. Data Protection & Privacy
Complycia processes personal and business data in accordance with its Privacy Policy. By using the Service, you consent to the collection, use, and storage of data as described therein.
We implement industry-standard technical and organizational measures to protect your data and, where applicable, offer a Data Processing Addendum (DPA) for customers subject to GDPR or similar regulations.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.
Complycia does not warrant that:
The Service will be uninterrupted, error-free, or free of defects
Generated materials will guarantee licensure approval or regulatory outcomes
Content will be suitable for every jurisdiction without user review
You acknowledge that regulatory requirements may vary and change over time, and you are responsible for ensuring final submissions meet applicable laws and agency standards. Use of the Service is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, Hexa shall not be liable for any:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, or business opportunities
Damages arising from the use or inability to use the Service
In all cases, our aggregate liability shall not exceed the fees paid by you in the past 12 months.
13. Termination
We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe that:
You have violated these Terms
You have engaged in fraudulent, abusive, or unlawful activity
Continued access would create legal, regulatory, or compliance risk
You may terminate your account at any time by discontinuing use of the Service or, where applicable, canceling your subscription.
Upon termination, your right to access and use the Service will immediately cease. Certain provisions of these Terms, including intellectual property, disclaimers, and limitation of liability, will survive termination.
14. Modifications to the Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.
When we make changes, we will update the “Last Updated” date at the top of this page. If the changes are material, we may notify you by email or in-product notice.

15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
If you are located outside the United States, you acknowledge that you are responsible for complying with applicable local laws.
